1. Acceptance of Terms

By accessing or using MediaScribe services ("Services") provided by Tightrope Media Systems, Inc. ("Tightrope," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

2. Description of Services

MediaScribe provides AI-powered captioning, transcription, and translation services for live and recorded video content. Our Services include:

• Real-time caption generation
• Multi-language translation
• Audio description generation
• Transcript archiving
• Hardware gateway appliances

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malicious code or interfere with the Services
• Attempt to gain unauthorized access to our systems
• Use the Services for any illegal or unauthorized purpose

5. Content and Intellectual Property

Your Content

You retain ownership of any content you submit to the Services. By using the Services, you grant us a limited license to process your content solely to provide the captioning services you have requested.

Our Intellectual Property

The Services, including all software, technology, and content provided by Tightrope, are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services without our written permission.

6. Service Level Agreement

Enterprise customers may be subject to a separate Service Level Agreement (SLA) that defines uptime commitments, support response times, and remedies for service failures. The SLA terms, where applicable, are incorporated by reference.

7. Fees and Payment

You agree to pay all fees associated with your use of the Services as set forth in your service agreement or order form. Fees are billed in advance and are non-refundable except as required by law or explicitly stated in your agreement.

8. Warranties and Disclaimers

We strive to provide accurate captioning services, but due to the nature of AI-generated content:

• Caption accuracy may vary based on audio quality, accents, and technical terminology
• Services are provided "as is" without warranty of any kind
• We do not guarantee 100% accuracy for all content types

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIGHTROPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Tightrope and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

11. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed by the laws of the State of Minnesota, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Hennepin County, Minnesota.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or sending you an email. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
